Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your use of the ShieldDesk service operated by ShieldDesk LLC, a North Carolina limited liability company (“ShieldDesk,” “we,” “us,” or “our”). By accessing our website, signing up for our service, or using any ShieldDesk product, you agree to be bound by these Terms. If you do not agree, do not use our service.

2. Service Description

ShieldDesk provides fully managed AI dispatch and AI protection services for trade companies. The service includes:

  • 24/7 AI-powered inbound call answering and dispatch (Hailey)
  • Human-in-the-loop oversight of all dispatches
  • SMS notifications to designated technicians
  • Job confirmation and escalation workflows
  • Access to the ShieldDesk operations dashboard
  • AI Protection Layer (Full Front Desk + Protection plan only)
  • Ongoing configuration management and support

Service details, features, and availability are subject to change with reasonable notice. We will notify active customers of material changes to the service by email.

3. Payment Terms

ShieldDesk is offered on a month-to-month subscription basis:

  • After-Hours Plan: $149 per month, billed on the same day each month.
  • Full Front Desk Plan: $249 per month, billed on the same day each month.
  • Full Front Desk + Protection Plan: $399 per month, billed on the same day each month.
  • No Setup Fee: There are no setup fees, onboarding fees, or hidden charges. You pay the monthly rate starting when your service goes live.
  • No Overage Charges: The monthly rate is flat regardless of call volume. There are no per-call fees.
  • Payment Method: Payment is due at the start of each billing period. We accept major credit and debit cards. Failure to pay may result in service suspension.

4. Cancellation

You may cancel your ShieldDesk subscription at any time by providing 30 days written notice to dave@flintcrew.com. Service will continue through the end of the notice period. We do not provide prorated refunds for partial months, but we will not charge you after your cancellation date.

ShieldDesk reserves the right to cancel service for any customer with 30 days written notice, or immediately in cases of material breach of these Terms.

5. Customer Responsibilities

As a ShieldDesk customer, you are responsible for:

  • Providing accurate business information for configuration (service area, pricing, tech roster, etc.)
  • Notifying ShieldDesk promptly of changes to your on-call schedule, service area, or business rules
  • Ensuring your technicians are available to receive and respond to dispatch notifications
  • Complying with all applicable laws in your jurisdiction, including licensing requirements
  • Not using the ShieldDesk service for any unlawful purpose

6. Service Level & Availability

ShieldDesk targets 99.9% uptime for the Hailey dispatch service. Planned maintenance windows will be communicated in advance. Unplanned outages will be communicated as quickly as possible.

In the event of a service outage lasting more than 4 hours, we will provide a pro-rated credit for the affected period upon request. This is our sole remedy for service downtime.

7. Limitation of Liability

ShieldDesk provides dispatch facilitation services. We are not responsible for:

  • The quality or outcome of work performed by your technicians
  • Customer disputes regarding services provided by your business
  • Revenue lost due to calls that were not answered before ShieldDesk was activated
  • Errors resulting from inaccurate configuration information provided by the customer
  • Force majeure events including telecommunications outages, natural disasters, or acts of government

To the maximum extent permitted by applicable law, ShieldDesk's total liability to you for any claim arising from or related to these Terms or the service shall not exceed the total monthly fees paid by you in the 3 months preceding the claim.

IN NO EVENT SHALL FLINTCREW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

8. Intellectual Property

All ShieldDesk software, systems, brand assets, and service configurations are the intellectual property of ShieldDesk LLC. Your subscription grants you a non-exclusive, non-transferable right to use the service for your business. You may not resell, sublicense, or white-label the ShieldDesk service without written permission.

9. Privacy

Your use of ShieldDesk is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Wake County, North Carolina.
